These Terms of Service (“Terms”) govern your access to and use of SendPromptly (the “Service”). By creating an account or using the Service, you agree to these Terms.
If you use SendPromptly on behalf of a company or organization, you confirm you have authority to bind that entity, and “you” refers to that entity.
1. What the service does and does not do
SendPromptly provides a dashboard and API for detecting and repairing post-payment failures — specifically, payment events that succeeded on the provider side but where your application’s intended business effect (access unlock, credit grant, or similar) failed or never completed.
The Service does not:
- replace your payment provider webhook handling;
- store card numbers or raw payment credentials;
- guarantee that every incident will be detected or every reprocess will succeed;
- make your application logic correct, safe, or idempotent — that remains your responsibility.
You are responsible for the correctness and safety of the effects your application applies, including the behavior of your repair endpoint.
2. Accounts and security
You are responsible for:
- keeping your account credentials and API keys confidential;
- rotating API keys promptly if you suspect exposure;
- limiting account access to authorized individuals;
- all activity that occurs under your account.

3. Repair callbacks and connected endpoints
When you trigger a reprocess from the incident console, SendPromptly sends a signed HTTP callback to the repair endpoint URL you configured. By doing so:
- you authorize SendPromptly to call that endpoint on your behalf;
- you confirm you have the rights to operate that endpoint and the systems it connects to;
- you are responsible for verifying the callback signature, operating the endpoint safely, and ensuring your repair logic is idempotent.
We may disable callback configurations that present abuse, security, or operational risk.
4. Acceptable use
You agree not to use SendPromptly to:
- violate any law or regulation, including privacy, payment, and data protection laws;
- transmit harmful, deceptive, or abusive content;
- attempt to bypass plan limits, rate limits, or security controls;
- interfere with the operation of the Service or other customers’ use;
- deliver malware or phishing payloads through connected endpoints.
We may suspend or block access for violations of this section without prior notice.
5. Plans, billing, and limits
- Subscriptions are billed in advance and renew automatically until you cancel.
- Plan limits (monitored events, projects, team members) are enforced per billing period. Unused quota does not roll over.
- Upgrades may take effect immediately. Downgrades typically take effect at the next billing cycle.
- Taxes may apply depending on your jurisdiction and billing address.
- If a payment fails, access may be suspended until payment is resolved.
All billing is processed through Stripe. You agree to Stripe’s terms in addition to these Terms for billing-related matters.
6. Suspension and termination
We may suspend or terminate your account if:
- you violate these Terms;
- your use creates legal, security, or operational risk for the Service or others;
- required fees remain unpaid after reasonable notice.
You may stop using the Service and cancel your subscription at any time. Cancellation ends your subscription at the close of the current billing period. We do not offer prorated refunds for unused time except where required by law.
On termination, your access to the Service and your data ends. We may retain data for legal and accounting purposes in accordance with our Privacy Policy.
7. Privacy
Your use of SendPromptly is subject to our Privacy Policy, which explains what data we collect, how we use it, and your rights.
8. Modifications to the service
We may add, modify, or discontinue features or the Service at any time. We will try to give reasonable notice of material changes that affect your use.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
- the Service will be uninterrupted or error-free;
- incidents will be detected in every case;
- every reprocess will succeed;
- results will meet your specific requirements.
Your use of the Service is at your own risk.
10. Limitation of liability
To the maximum extent permitted by applicable law:
- SendPromptly’s total liability to you for any claim arising from or related to the Service is limited to the fees you paid in the three months preceding the claim;
- SendPromptly is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption — even if advised of the possibility of such damages.
Some jurisdictions do not allow certain exclusions or limitations. Where local law requires it, those exclusions or limits may not apply to you.
11. Governing law and disputes
These Terms are governed by the laws of the province of Ontario, Canada, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of Ontario, and you consent to that jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new effective date. Continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
