Terms of Service

These Terms of Service (“Terms”) govern your access to and use of SendPromptly (the “Service”). By creating an account, using the Service, or accessing our website, you agree to these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

SendPromptly provides an API and dashboard to orchestrate transactional email and webhook delivery, including scheduling, retries, logging, and quota enforcement.

Important: SendPromptly is not an email service provider. Delivery depends on your chosen SMTP or email API provider, your domain configuration, and your sending practices.

2. Accounts and security

You are responsible for:

  • maintaining the confidentiality of account credentials;
  • securing project API keys and message keys (including rotating keys if exposed);
  • ensuring only authorized users have access to your account;
  • promptly notifying us of suspected unauthorized access.

You are responsible for all activity that occurs under your account.

3. Bring-your-own provider credentials

If you configure the Service with SMTP credentials or email-provider API keys:

  • You authorize SendPromptly to use those credentials solely to send messages on your behalf.
  • You represent that you have the right to use the credentials and the associated domains.
  • You are responsible for provider configuration (e.g., SPF/DKIM/DMARC where applicable) and any provider fees.
  • You must keep credentials accurate and up to date.

We may restrict or disable sending configurations that present abuse, security, or operational risk.

4. Usage limits, quotas, and rate limiting

4.1 Monthly quotas

Each plan includes a monthly quota of “API calls” (requests). Quotas reset on your billing date (anchored to your subscription start), not on the calendar month.

4.2 Courtesy buffer (no rollover)

Each plan includes a small courtesy buffer above the included quota (currently 10%). If you exceed the hard stop threshold, requests may be blocked until your next billing reset or until you add eligible capacity (e.g., a Usage Pack).

Unused quota does not roll over to the next billing period.

4.3 Rate limiting

We apply rate limits to protect the Service and prevent abuse. Rate limits may vary by plan and may apply per project, per endpoint, per IP, or other dimensions.

5. Plans, billing, and changes

5.1 Monthly plans only

Plans are offered on a monthly subscription basis. We do not offer annual plans unless we explicitly state otherwise.

5.2 Taxes and currency

Prices are listed in CAD unless stated otherwise. Taxes may apply depending on your location and applicable law.

5.3 Payments

Payments are processed by our payment processor (e.g., Stripe). You authorize us and our processor to charge your payment method for subscription fees, add-ons, and applicable taxes.

5.4 Adding Usage Packs

If your plan supports Usage Packs, you may add packs at any time. Added packs take effect immediately and may be billed on a prorated basis for the remainder of your current billing period.

5.5 Downgrades and removing packs

Downgrades (including removing packs) take effect at the start of your next billing cycle.

5.6 No circumvention

You may not attempt to circumvent plan limits (including quotas, pack caps, or project limits) through abusive or deceptive means. We may enforce controls to prevent circumvention, including verification rules for sending domains.

6. Acceptable use

You agree not to use the Service to:

  • send spam, unsolicited marketing, or messages that violate anti-spam laws (including CASL, CAN-SPAM, or other applicable laws);
  • send bulk email campaigns that the Service is not designed to support;
  • transmit malware, phishing, or deceptive content;
  • infringe intellectual property rights or violate privacy rights;
  • interfere with the Service (including excessive load, scraping, probing, or security testing without authorization);
  • use webhooks to target prohibited endpoints or perform malicious activity.

We may block or restrict sending configurations, domains, or traffic patterns that present abuse or compliance risk.

7. Suspension, review, and termination

7.1 Review-required status

If we detect activity indicating elevated risk (for example, attempted circumvention, suspicious sending configurations, or unusual usage patterns), we may place your account in a review-required state. During review we may:

  • block purchasing additional packs,
  • block creation of new projects/messages,
  • restrict sending, or
  • require you to verify account or domain ownership.

7.2 Suspension or termination

We may suspend or terminate access to the Service if:

  • you breach these Terms,
  • your use creates legal, security, or operational risk, or
  • required fees are unpaid.

You may stop using the Service at any time. Subscription cancellations take effect according to your billing cycle and processor settings.

8. Data and privacy

Your use of the Service is subject to our Privacy Policy. You are responsible for the content you send and for ensuring you have all necessary rights and permissions to process personal information of recipients.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or that message delivery will be successful in all cases (delivery depends on your provider and external systems).

10. Limitation of liability

To the maximum extent permitted by law:

  • SendPromptly will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.
  • Our total liability for any claim relating to the Service will not exceed the amount you paid to SendPromptly for the Service in the three (3) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in those cases, limitations apply to the fullest extent permitted.

11. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use of the Service after changes become effective constitutes acceptance.
